C. Hugh Friedman has practiced business and corporate law in San Diego for over 40 years. He serves as a qualified expert in business and securities litigation and teaches at the University of San Diego School of Law.

Mr. Friedman chaired the California Securities Regulatory Reform Commission and was member of the California Commission on Corporate Governance, Shareholder Rights and Securities Transactions. He is also director of business planning programs presented by The Rutter Group.

James F. Fotenos contributing author of the 2011 Update, is a partner in the San Francisco law firm of Green Radovsky Maloney Share & Hennigh LLP. He concentrates on corporate, securities and pass-through entity counseling. He has extensive experience in representing issuers in public and private equity financing, corporate governance, SEC reporting and compliance, mergers and acquisitions, and broker-dealer and investment advisor regulation.

Mr. Fotenos currently serves as Vice-Chair of the Opinions Committee of the Business Law Section of the California State Bar, and is past Co-Chair of the Corporations Committee, Chair of the Partnerships Committee, and a member and Treasurer of the Executive Committee of the Business Law Section. He also serves as the editor of the Legal Opinion Newsletter, published by the Committee on Legal Opinions of the Section of Business Law of the American Bar Association.

Evridiki (Vicki) Dallas consulting editor on the Practice Guide's tax materials, is a partner in the Costa Mesa law firm of Rutan & Tucker. She specializes in tax, mergers and acquisitions, venture capital, corporate finance and franchising. She has been a senior adjunct professor teaching corporate tax and mergers and acquisitions at Golden Gate University in Orange County and is a frequent panelist on Rutter Group corporate and business entity programs.
